STRICT DATA CONFIDENTIALITY, SECURITY & NON-DISCLOSURE AGREEMENT
BY AND BETWEEN
Coalesce Eventz India Private Limited, a company incorporated under the laws of India, having its registered office at Mumbai, Maharashtra (hereinafter referred to as the “Company”),
This Agreement shall be binding from the Employee’s date of joining.
1. ACKNOWLEDGEMENT OF SENSITIVE ACCESS
The Employee acknowledges that their role involves access to highly sensitive, proprietary, confidential, and commercially valuable data belonging to the Company and its clients. The Employee understands that unauthorized use, copying, disclosure, or transfer of such data may cause severe financial, reputational, and legal harm to the Company.2. DEFINITION OF CONFIDENTIAL INFORMATION
“Confidential Information” includes, but is not limited to:- Client databases, contact details, event data, financial data
- Internal dashboards, analytics, CRM records
- Source codes, scripts, SQL queries, API keys
- Server credentials, cloud infrastructure details
- Vendor pricing, contracts, proposals
- Business strategies and marketing plans
- Any non-public information marked or understood as confidential
3. STRICT DATA USE LIMITATION
The Employee agrees:- To access only the data strictly required for assigned duties
- Not to access data out of curiosity or personal interest
- Not to copy, download, duplicate, or extract bulk data without written authorization
4. ABSOLUTE PROHIBITION ON DATA TRANSFER
The Employee shall NOT:- Transfer Company Data to personal email
- Upload Company Data to personal cloud storage
- Use USB drives, external hard disks, or personal laptops
- Share data via WhatsApp, Telegram, Slack (unauthorized), or any messaging platform
- Take screenshots, photographs, or screen recordings of sensitive systems
5. AI & EXTERNAL PLATFORM RESTRICTION (STRICT CLAUSE)
The Employee is strictly prohibited from:- Uploading Company or Client Data to AI tools including ChatGPT, Gemini, Copilot, Claude, or similar platforms
- Entering client names, datasets, database schema, internal processes, or financial details into AI systems
6. PASSWORD & CREDENTIAL PROTECTION
- Credentials must never be shared with anyone
- Multi-Factor Authentication must be enabled wherever available
- Passwords must not be written or stored in unsecured formats
- Any suspicious login attempt must be reported immediately
7. MONITORING & SURVEILLANCE CONSENT
The Employee expressly consents that: The Company may monitor, record, audit, and review:- Login logs
- Email communications
- Download activity
- Device usage
- Network traffic
- Access logs
8. IMMEDIATE BREACH REPORTING
The Employee must immediately report:- Device theft or loss
- Accidental data sharing
- Phishing emails
- Suspicious access
- Any potential data leakage
9. OWNERSHIP OF INTELLECTUAL PROPERTY
All reports, dashboards, analysis, software scripts, databases, documentation, and intellectual property created during employment shall remain the exclusive property of Coalesce Eventz. The Employee shall have no claim over such assets during or after employment.10. POST-EMPLOYMENT OBLIGATION
Upon resignation or termination:- All data access shall cease immediately
- All Company devices and documents must be returned
- Any Company Data in possession must be permanently deleted
- Employee must sign a Data Clearance Declaration
11. NON-SOLICITATION & NON-CIRCUMVENTION
For 12 months after leaving:- The Employee shall not approach Company clients directly
- The Employee shall not use Company contacts for independent business
- The Employee shall not solicit Company employees
12. INDEMNITY & LIABILITY
The Employee agrees to indemnify and hold harmless the Company from:- Financial losses
- Client claims
- Regulatory penalties
- Legal expenses
- Damages arising from breach of this Agreement
13. LEGAL ACTION & REMEDIES
In the event of breach, the Company shall be entitled to:- Immediate termination without notice
- Seek Injunction from competent court
- Claim monetary damages
- Recover legal costs and attorney fees
- Initiate civil and criminal proceedings under the Information Technology Act, 2000 and applicable Indian laws
